Ken Dannenberg offers considerable experience in transactional law. His practice includes business law, estate planning, real estate transactions, and tax matters. Ken represents businesses, both large and small, as well as individuals.
Business Law
Ken has worked with business clients for over two decades. He has substantial experience in assisting with the formation of businesses and in solving the problems that face closely-held companies, including issues related to sales, mergers, and acquisitions. Under his guidance, numerous business owners have made wise decisions regarding whether to form (or restructure) as subchapter “S” corporations, “C” corporations, or limited liability companies.
Ken has assisted business clients in diverse fields such as agriculture, oil and gas, and the aviation industry in obtaining financing, formation of joint ventures, and resolving disputes. Ken has extensive knowledge in planning for, and implementing, business ownership succession as well.
Estate Planning
Ken also provides counsel to individuals. He guides his clients through estate and asset protection planning, including the formation of revocable trusts, irrevocable trusts, and the implementation of advance care directives. Clients who need to make, or update, a last will and testament or power of attorney also benefit from Ken’s proficiency in these areas.
Real Estate Transactions
Real estate transactions are integral to businesses and individuals alike. Ken has represented Kansas developers, home owners’ associations, and individuals in preparing sales contracts, assisting in land use issues, and in performing pre-purchase due diligence.
Tax Matters
Transactions often involve tax issues and Ken has experience in working on income tax and property tax issues for both businesses and individuals. Additionally, Ken has addressed sales tax issues and represented applicants for ad valorem property tax exemptions. He has successfully represented clients in administrative proceedings before the Internal Revenue Service (IRS), the Kansas Department of Revenue Appeals, and in litigation before the Kansas Court of Tax Appeals (COTA) and United States Tax Court.
